1. Acceptance of Terms

By accessing and using VMH's services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Services

VMH provides web application development services including but not limited to:

Custom web application development
Mobile-responsive design and development
Technical consulting and architecture planning
Ongoing maintenance and support services

3. Obligations and Responsibilities

Client Obligations:

  • Provide accurate and complete project information
  • Make payments according to agreed terms
  • Provide timely feedback during development phases
  • Provide necessary content and materials

VMH Obligations:

  • Deliver high-quality work according to specifications
  • Adhere to agreed project timelines
  • Maintain confidentiality of client information
  • Provide reasonable support during development

4. Payment Terms

Payment terms are established in individual project contracts. General terms include:

50% advance payment before project commencement
Milestone payments as agreed in project scope
Final payment upon project completion and approval
Late payment fees may apply after 30 days

5. Intellectual Property

All custom code and designs created specifically for the client become the property of the client upon full payment completion.

VMH retains rights to general methodologies, techniques, and any pre-existing intellectual property.

Third-party licenses and open-source components remain subject to their respective terms.

6. Data Protection & GDPR Compliance

VMH is committed to protecting personal data in accordance with Romanian Law 190/2018 and EU GDPR regulations:

Data collection is limited to project requirements and legal obligations
Personal data is processed lawfully, fairly, and transparently
Clients have rights to access, rectify, erase, and port their personal data

7. Limitation of Liability

VMH's liability is limited to the total amount paid for services. We are not liable for indirect, incidental, or consequential damages.

Maximum liability shall not exceed the total contract value for the specific project.

This limitation is subject to Romanian consumer protection laws and mandatory liability provisions.

8. Termination

Either party may terminate the agreement under the following conditions:

Material breach of contract terms with 15 days written notice
Non-payment after 30 days written notice
Mutual agreement in writing with appropriate compensation

9. Governing Law

These terms are governed by Romanian law and EU regulations. Any disputes will be resolved through Romanian courts or alternative dispute resolution mechanisms.

Courts in Bucharest, Romania have exclusive jurisdiction over any legal proceedings.
